Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Visuali Inc. (“Visuali,” “we,” “our,” or “us”) governing your access to and use of the Visuali platform, website, and services (collectively, the “Service”).

By creating an account, clicking “I Agree,” or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference.

The Service

Visuali is an AI-powered interior design platform that allows users to upload photographs of their rooms, select design styles and preferences, and receive AI-generated room redesign renderings. The Service also provides shoppable product recommendations matched to your design outputs.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice of material changes where practicable. Your continued use of the Service after changes constitutes acceptance of the modified Service.

Accounts & Eligibility

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

Your Content

You own your content. You retain all ownership rights to the room photographs, images, and other materials you upload to the Service (“User Content”). Visuali does not claim ownership of your User Content.

License you grant to us. By uploading User Content, you grant Visuali a non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your User Content to provide the Service
• Use your User Content to generate AI design outputs on your behalf
• Use your User Content to train, fine-tune, and improve our AI models (subject to your ability to opt out — see our Privacy Policy)
• Create anonymized or aggregated data derived from your User Content

Your representations. By uploading User Content, you represent and warrant that:

• You own the content or have the right to upload and license it as described
• The content does not violate any third party's intellectual property, privacy, or other rights
• The content does not contain material that is unlawful, defamatory, obscene, or otherwise objectionable
• Photos of spaces you upload are of spaces you own, rent, or have permission to photograph and share

AI-Generated Outputs

The room redesign renderings, product recommendations, and other outputs generated by our AI systems (“AI Outputs”) are provided to you subject to the rights and restrictions of your subscription plan, as described below.

Free Plan. AI Outputs generated on the Free plan are licensed for personal, non-commercial use only. All Free plan outputs include a “Created with Visuali” watermark. You may not use Free plan outputs in real estate listings, commercial advertising, client-facing deliverables, or any context where you receive direct or indirect compensation. Upgrading to a paid plan removes the watermark and unlocks commercial rights for all future outputs, but does not retroactively alter the license on outputs generated while on the Free plan.

Pro Plan. AI Outputs generated on the Pro plan are licensed for personal and commercial use, including real estate listings, professional staging, marketing materials, social media advertising, and client presentations. You may not resell, sublicense, or white-label Pro plan outputs as a standalone design service.

Studio Plan. AI Outputs generated on the Studio plan carry all Pro plan rights, plus the right to resell, sublicense, and deliver outputs to paying clients as part of a professional interior design, staging, or architectural service.

Visuali does not guarantee that AI Outputs will be accurate, complete, or free from errors. AI-generated designs may occasionally produce unexpected or undesired results. We are continually improving our models, but cannot guarantee specific output quality.

Across all plans, you may not use AI Outputs to train competing AI models or to reverse-engineer Visuali's AI systems.

License to Use

Subject to your compliance with these Terms, Visuali grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. The scope of this license varies by plan as detailed in Section 5 (AI-Generated Outputs) above.

Your license rights persist for outputs generated during an active paid subscription period. If you downgrade from a paid plan to the Free plan, outputs already generated under your paid plan retain the rights granted at the time of generation. New outputs generated after downgrading are subject to Free plan restrictions.

Across all plans, this license does not include the right to:

• Resell or commercially exploit the Service or its content beyond the rights granted by your plan
• Scrape, crawl, or systematically extract data from the Service
• Copy, reproduce, or create derivative works of the platform itself
• Reverse engineer or attempt to extract the source code of the Service
• Use the Service to build a competing product or service
• Remove, obscure, or alter any watermark or attribution applied to Free plan outputs

Prohibited Uses

You agree not to use the Service to:

• Upload content that infringes on third-party intellectual property rights
• Upload content depicting illegal activity, nudity, or graphic violence
• Attempt to gain unauthorized access to other user accounts or our systems
• Transmit malware, viruses, or any other malicious code
• Circumvent any usage limits, access controls, or billing systems
• Use automated tools to access the Service in a manner that exceeds reasonable use
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Violate any applicable local, state, national, or international law

Subscriptions & Billing

Visuali offers free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis.

All prices are listed in USD and do not include applicable taxes, which will be added at checkout where required.

Third-Party Links & Products

The Service includes shoppable product recommendations and links to third-party retailers (“Third-Party Products”). Visuali may receive a commission or referral fee when you purchase Third-Party Products through links on the platform.

Visuali does not sell, fulfill, or take responsibility for Third-Party Products. All purchases are transactions between you and the respective retailer, governed by that retailer's terms and policies. We are not responsible for product quality, availability, shipping, returns, or any disputes arising from such purchases.

We strive to ensure product information displayed on Visuali is accurate, but we cannot guarantee that prices, dimensions, colors, or availability are current. Always verify details directly with the retailer before purchasing.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Visuali does not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated designs will meet your expectations or be suitable for any particular purpose
• Product recommendations will match your actual space dimensions or style preferences
• Any defects or errors in the Service will be corrected

AI-generated room designs are creative tools, not professional architectural or interior design advice. Consult a licensed professional before making significant structural or renovation decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISUALI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL VISUALI'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VISUALI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

Termination

You may terminate your account at any time by visiting Account Settings and selecting “Delete Account,” or by contacting us at hello@visuali.com.

We may suspend or terminate your account or access to the Service at our discretion if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. We will provide notice where reasonably practicable.

Upon termination, your license to use the Service ends immediately. Sections of these Terms that by their nature should survive termination — including ownership provisions, disclaimers, and limitations of liability — will survive.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.

Informal Resolution: Before filing any formal legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@visuali.com. We will attempt to resolve the dispute within 30 days.

Class Action Waiver: You agree to resolve any disputes with Visuali on an individual basis and not as part of a class action or representative proceeding.

Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email and by displaying a prominent notice on the platform at least 14 days before the new terms take effect.

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.
